Program Terms and Conditions

REFER-A-FRIEND PROGRAM

Please read this PROGRAM TERMS AND CONDITIONS AGREEMENT ("Agreement") carefully. This agreement is made between MotiveWave Software ("Company") and any person ("Referrer" or "Referee") who participates in the "REFER-A-FRIEND PROGRAM"

TERMS AND CONDITIONS

1. General

These terms and conditions apply to Motivewave.com Refer-A-Friend Program ("Program"). By referring a friend or family member who meets Motivewave.com's registration requirements, or otherwise participating in the Program, you agree to be bound by Motivewave.com's Privacy Policy listed here, and Motivewave.com's Terms of Service (collectively, the "Program Terms and Conditions").

Both parties (Referrer and Referee) will be notified via email address used to create a profile with Motivewave.com once a successful referral reward has been applied in accordance to section (4. Rewards). All other terms and conditions listed here remain the same.

2. Program Participation

Program is only available to current Motivewave.com customers who refer a new friend or family member who has not yet made a purchase with Motivewave.com. Motivewave.com reserves the right to modify, extend or cancel this Program at any time. The Program is only available online at Motivewave.com. Current Motivewave.com members who initiate a referral on Motivewave.com are defined as "Referrers." Non-members who become a Motivewave.com member upon accepting a referral are defined as "Referees."

3. Eligibility

You must have an existing Motivewave.com account with an active lease or updates and support package to be eligible for the Program, to make referrals, and to receive referral rewards. The Program is only available for Motivewave.com customers. Excludes Motivewave.com employees. Any party with a chargeback will be terminated from the program.

To make referrals, you must:

  1. Have an active lease or updates and support package account with Motivewave.com.
  2. Referred party must be a new customer. Not a returning customer.
  3. Referred party must purchase within 30 days of receiving email invitation from Referrer to qualify both parties for the reward.
  4. Referral farming is not allowed. Referrer cannot refer to the same new Referee more than once.
  5. If a referred party initiates a refund or chargeback both parties will be liable to a clawback of rewards and vice versa.

Participation in the Program is prohibited where void by applicable law or regulation. The Program is only available through Motivewave.com. You cannot earn a referral reward for referring someone who is an active Motivewave.com customer, or for referring yourself. Referral new account activation must be new to Motivewave.com with no transaction history.

If the person you have referred is already a Motivewave.com customer, they will not be able to claim that they were referred by you, and neither of you will receive a reward for the referral. You can only accept one referral; you cannot accept a referral from more than one person.

Referrer's existing account registration at Motivewave.com and referral messages sent to a Referee must be prior to the Referee's purchase.

There is no limit to how many eligible referrals an existing Motivewave.com member can make per calendar year.

Motivewave.com reserves the right to void any referral reward based on the following: (1) ineligibility of any Program participant, (2) fraudulent activity, or (3) if Motivewave.com, in its sole discretion, finds that you have violated any of the Program Terms and Conditions. (4) Motivewave reserves the right to clawback any and all rewards given to both Referee or Referrer at its sole discretion. (5) If any party initiates a refund or chargeback both parties will have their issued rewards revoked.

4. Reward

Referrer party is a Leaseholder:

  1. Both parties Referee and Referrer will receive 15 free days added to their lease
  2. If Referee purchases a lifetime license Referrer will receive 1 free month added to lease and Referee will receive 1 additional month of updates and support

Referrer party is a Lifetime License holder:

  1. If the Referee purchases a lease. Referee will receive 15 free additional days. Referrer will receive 1 free additional month of updates and support.
  2. If a Referee party purchases a lifetime license, both parties will receive 1 free additional month of updates and support.

Reward for each new account activation/purchase will be fulfilled by Motivewave.com. Reward notification will be sent via email address associated with your Motivewave.com account.

Allow up to 2 weeks for activation of reward after Referee purchase. Referral rewards are non-transferable, non-assignable, and cannot be redeemed or exchanged for cash, credit or other merchandise outside of the Program.

5. Tax

You are responsible for any and all tax liabilities associated with the Program.

6. Void Where Prohibited

This Agreement is made in and shall be governed by the laws of the Province of British Columbia without reference to any conflicts of laws. Any and all disputes relating to or arising out of this Agreement including, but not limited to, the arbitrability and the validity of this Agreement shall be resolved by binding arbitration in Kelowna, British Columbia, Canada. This Program is void where prohibited by law.

7. Additional Terms and Conditions

We reserve the right to change the terms and conditions of the Program at any time, without notice, at our sole discretion. We reserve the right to not award a reward or disqualify someone from the Program if we feel, in our sole discretion, that fraudulent behavior or other unethical conduct has occurred in any way that compromises the fairness of the Program in any way. Rewards cannot be combined with other promotions or programs and are not valid for previous offers or orders. Spam, unsolicited commercial email, or any form of illegal means of communication is prohibited, and will be grounds for termination of your participation in this Program. Fraudulent or unethical means of communication such as using bots, fictitious identities, fake emails, or scripts is also prohibited and will result in the termination of your participation in the Program. Motivewave.com products are subject to additional terms, conditions, and other restrictions.

By participating in this Program, you agree to release and hold harmless Motivewave.com, as the operator of the Program, and its affiliates and subsidiaries, directors, officers, employees, consultants, and agents, and any other entity associated with marketing this Program (collectively, the "Released Parties") from any and all claims or damages arising out of, or in connection with the Program. You further agree that:

  1. The Program and rewards are provided "as is where is"
  2. THERE ARE NO REPRESENTATIONS OR WARRANTIES INCLUDING BUT NOT LIMITED TO STATUTORY WARRANTIES AND CONDITIONS, WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, THIRD PARTIES RIGHTS, AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS.
  3. IN NO EVENT WILL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF ONE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.
